Terms of Service

Purpose
These Terms of Service (“Terms”) govern access to and use of beventure.com and features offered under the BE Venture brand (matching questionnaire, venture listings, favourites, contact requests, appointment booking, applications or territory reservations, member account access, and where applicable marketplace or information on transfers), to the extent actually available on the Platform at the time of your visit.
The contracting operator is GHEZALI Business Mastery, referred to below as “we”, “us” or the “Publisher”. The user is referred to as “you”.
Acceptance
By browsing the Platform, creating an account or using our forms, you acknowledge that you have read and unreservedly accept these Terms.
If you do not agree, please do not use the Platform.
Separate contractual documents
Venture presentations, displayed amounts and exchanges through the Platform do not replace definitive agreements (exploitation licence, letter of intent, share or asset sale, advisory services, or any other instrument) that may be concluded offline or through separate documents.
In the absence of signature or express agreement on such a document, no sale, transfer or performance obligation arises from use of the Platform alone.
User account and security
Certain features may require an account (including authentication via a “magic link” sent to your email). You agree to provide accurate, up-to-date information.
Your credentials and sign-in links are personal. Any use of your account is deemed to be by you. You must notify us without delay of any suspected unauthorised use at contact@be-scale.com.
Content, indicative pricing and service changes
Venture profiles, indicative revenue ranges, investment levels and system descriptions are provided for information and may change. Dynamic pricing mechanisms may adjust displayed amounts within limits defined by the Platform; promotional windows may also apply.
We strive to keep information current but do not guarantee completeness or freedom from error. In case of discrepancy, contractual documents and written confirmations prevail.
Payments (deposit or down payment)
Where the Platform offers a deposit or down payment, payment may be processed by our provider Stripe (secure payment). You are deemed to accept Stripe’s applicable terms for that transaction.

Intellectual property and licence
We grant you a personal, non-exclusive, non-transferable, revocable licence to access the Platform and view content in line with these Terms.
You may not copy content at scale, run automated scraping, circumvent technical protection measures, or use the Platform to build a directly competing service through systematic data extraction.
Prohibited conduct
You agree in particular not to: (i) use the Platform for unlawful or fraudulent purposes; (ii) attempt to access third-party systems or accounts; (iii) unnecessarily overload servers or disrupt the service; (iv) impersonate a third party or seriously misrepresent information.
In the event of breach, we may suspend or terminate access without prejudice to any other remedies.
Third-party links
The Platform may link to external sites (for example other group brands or partners). We do not control those sites and disclaim responsibility for their content or policies.
Limitation of liability
To the fullest extent permitted by law, the Publisher shall not be liable for indirect loss, loss of opportunity, lost profits or commercial harm, except in cases of gross negligence or wilful misconduct under French law.
The Publisher’s aggregate liability, for all causes, is capped at the total amounts you paid to the Publisher for use of the Platform (excluding purchase of distinct goods or rights contracted outside the Platform) in the twelve (12) months preceding the event giving rise to liability, unless mandatory law provides otherwise.
Force majeure
Neither party shall be liable for temporary or permanent failure to perform obligations if such failure results from force majeure within the meaning of Article 1218 of the French Civil Code and French case law.
Consumer mediation
In accordance with Articles L.612-1 et seq. of the French Consumer Code, if you are a consumer under French law and a dispute persists after a written complaint to our team (contact@be-scale.com), you may use a consumer mediator free of charge.

Governing law and jurisdiction
These Terms are governed by French law.
Failing amicable settlement, disputes shall fall within the jurisdiction of the courts of Paris, subject to mandatory rules for consumers or professionals under other overriding regimes.
Changes to the Terms
We may update these Terms to reflect changes to the Platform or legal requirements. The update date appears at the top of the page. Continued use after publication constitutes acceptance of the revised Terms, unless otherwise stated.
